Dammika Perera taken the full control of the Sri Lanka's tile market. His empire is more worth now. RCL, VONE, etc. Full of synergies.

Sri Lanka ceramic tile firm control changes


May 06, 2013 (LBO) - Lanka Ceramics, a tile maker which was owned by Sri Lanka's Ceylon Theatres group had been sold with a controlling stake sold at 120 rupees a share up 40 rupees from a day earlier, brokers said.



Interests connected to Dhammika Perera, an entrepreneur who controls rival ceramics firm, Royal Ceramics, is believed to be in the buying side, market sources said.
In early trading Monday 24.6 million shares of Lanka Ceramics were traded in off-market dealers for a total value of 2.9 billion rupees, with the largest single trade at 19.9 million shares brokers said.

The trades amount to about 80 percent of the company.

Royal Ceramics makes tiles and sanitary ware, industries which enjoy tariff protection and are profitable.

May 06, 2013 (LBO) - Sri Lanka's Royal Ceramics Plc, a unit of Sri Lanka's Vallibel group has bought control of Lanka Ceramics group 2.9 billion rupees, group chief Dhammika Perera said.

A controlling 79 percent stake in Lanka Ceramic and four subsidiaries which included Horana Plantations was bought for 2.9 billion rupees, Perera said.

With Lanka Ceramic units Lanka Tiles and Lanka Walltiles under its umbrella the Royal Ceramics group now had a monopoly in the tile market, he said.

Horana Plantations was also went with other related companies such as Talawakele Plantations, he said.

About 24.6 million shares of Lanka Ceramics stock traded at 120 rupees up share, up 40 rupees from a day in a series of off-market deals Monday.

Royal Ceramics acquires 80% of Lanka Ceramic

A consortium of investors led by Royal Ceramics has bought over 24 million shares amounting to 80 percent of Lanka Ceramic PLC held by
Ceylon Theatres Group at a price of Rs.120 per share.

According to Royal Ceramics Managing Director Nimal Perera who negotiated the deal, Royal Ceramic bought 21 million shares of Lanka Ceramics while ultimate parent of Royal Ceramic, Vallibel One PLC controlled by businessman Dhammika Perera bought 1 million shares.

And also, Nimal Perera and Lanka Ceramics Chairman Anthony Page—who is acting in concert in the deal—bought 1 million share parcels each.

According to Perera, the mandatory offer to purchase the remaining share will be given by the consortium consisting him, Royal Ceramics, Vallibel One and Anthony Page.

CTHR makes nice capital gain on sale

CERA was in its books at Rs 87 per share at end 2012 - may have risen to around Rs 90 per share by end April 2013

Sold for Rs 120 per share (less brokerage cost), so profit of c. Rs 30 per share on 24 million shares gives total profit of around Rs 700 million on cash realised of Rs 2.9 billion

CERA reported profit of Rs 523 million last year, and CTHR would have got 80% of that - will not be getting contribution from CERA in future

What will CTHR do with the money ? Pay off debt ? Invest in new bank ? Invest in beer or dairy or supermarkets ?

This man never runs out of cash. Even Ballys has one of the highest winning percentages in the world.

Would have been better if he used Hayleys cash reserves
