LOLC have a good upside potential from the current levels too. But I have concerns on LOFC due to its higher quantities in the market.

LOLC holds approx. 95% shares from LOFC. Top 20 shareholders hold 99.05% shares. fewer quantities are traded in the market.

LOFC's listed quantity is 5.2bn shares and out of that close to 5bn is fixed and around 200mn shares are in the market. In a rally from this around 100mn can be expected to trade. Current price is 3.70 and in a rally of LOLC it can move to 4/- at which point expect a huge resistance. So my preference is LOLC instead of LOFC @ the current price levels. A LOLC run can take the stock to 150+ while LOFC to 4/-.

The total payment to be received by LOLC International Private Limited for the sale of its 70% stake in PRASAC is USD 603 million.LOLC International Private Limited has now received USD 422. In terms of the Share Purchase Agreement, the balance USD 181 Mn will be received in 2022.

then we can guess, the price of LOLC shares has a potential move to Rs 220+. and LOFC also touch at least Rs.6.50.

If i am correct, the PRASAC sale proceed will not be reflected in this report. And PRSAC's operational profits will also not be applicable to this Q right?

I think the PRASAC sale and gain would get reflected in June 2020 quarter, not Mar 2020 quarter, coz the final approval was received in April 2020.

Well, good question.

LOLC entered into the Share Purchase Agreement early Jan 2020 and this was subject to the approval of the National Bank of Cambodia.

We aren't exactly sure the date NBC rendered approval. April's disclosure did not mention it either and it's a gray area.

However, since the agreement was done early Jan, regardless of when the approval from NBC was received, the sale is in enforcement from Jan and the reason I conclude, PRASACs disposal should be recognized in Q4. Even if the approval is required to constitute the Sale, it's likely the approval from the NBC came Pre April before LOLC received it's first payment tranche. I understand this is subjective as we aren't sure what constitutes to the completion of the sale and approval date. Time will say.

Forget about payment dates since it's not important variable. Even if payment is to be received in 10 years, the sale should be recognized.

Profit is not cash. LOLC overseas sale money will not come to Sri Lanka, only profits will be shown in LOLC books. Dont get carried away with LOLC which is a fake assets of which cash is lies in Singapore under a different company owned by the same directors.

Both profits and cash generated from the PRASAC sale will be in the group and will be recorded in the consolidated accounts of LOLC Holdings PLC. Geographical location of subsidiaries does not matter, if you own a LOLC Holding PLC share, you own the profits and cash applicable to that share.

Further, you can't siphon out money from a listed company who's accounts are audited by reputed firms and monitored & regulated by the CSE and SEC.

If you are worried about them not paying dividends from that gain, yes, they may or may not.. thats a call you have to make on your investment decision. But no matter whether they keep the sales proceeds as cash, payout as dividends, invest in Sri Lanka or invest in another country, those assets are owned by the shareholders of LOLC Holdings PLC.

So its better to readup on corporate law, accounting standards and corporate structures before misleading new investors.
