Any idea about Browns group ?

They hold almost 18 Mn vot share of HNB and 13 Mn vot shareof Seylan and 5 Mn non voting of Seylan. They also have a 3.04 Bn stock of Timber and Rubber. Their 2nd Q EPS is around 10.84...looks quiet good. Once the 3rd Q results come out for Browns and HNB...it will be a good value share...I guess.........

browns investment arm are about to come as IPO.. I saw that they had a private placement .. so will be another interesting IPO..

Browns already sold their HNB shares. nothing left. I would be surprised if it goes beyound Rs300 mark within next 12 months.

Dear ukboy, BROWNS has already gone uptoday to 322-325 level. Why do u say that will not go up over 300/- within the year. I guess it will hit 400/-before end of this year.

BRWN LOLC and RICH were traded in large numers , something is goimg on.

BRWN trading today was around 500000 shares . Mostly over Rs 320. There were some concerns in the forum about their gains due to one time income and issues with paying less tax. But if you look at last quarter report the income appears to come from mainly core business. Need to explore this more. If this quarter also they report good eps with a clean audited report I think this can hit the roof. Best to monitor

@ Isuru - Pls note since the end of last financial year BRWN has been concidered as a subsidery of LOLC. As LOLC secure the effective control over BRWN, it becomes subsidery insted of an associate.

LOLC > 100% Commercial Leasing > 50% Diriya Investment > 51% Browns
BRWN among others holds 50% of Browns Investments - BI (Investment Holding Co), which to be listed too.
BI holds 50% of Free Lanka Capital (Pvt) Ltd which holds 70% Free Lanka Capital Holdings Ltd., that will start trading 18th April under "Diversified".
BI also holds 50% Free Lanka Plantation Holdings (Pvt) Ltd which owns 40% & 32% of Maturata Plantations and Pussellawa Plantations two of the RPC's respectively.


It will be interesting to see the new role of "BRWN" with in "LOLC's Holding Company" structure, as more than a "trading" company BRWN is with diversified business interests. Earlier I thought "BRWN" will be placed under "Diversified" before "LOLC".

Appriciate members' views/predictions over BRWN's new ROLE under "LOLC Holdings", will it be another HOLDING COMPANY or ???

I was looking at BRWN dec statement and the top 2 share holders are Engineering Services and Mason Mixures. Are these subsidies of Diriya Investment? can you please clarify

But also pls note LOLC group structure Pages 14-16 of LOLC Annual report (http://www.cse.lk/cmt/upload_report_file/378_1283164137108.pdf) accordingly 51% effective holding of BRWN is through Diriya Investment. Further under the "Acquisitions and Investments - Driving" - it explains through our wholly-owned subsidery Commercial Leasing Company, we acquired a 50% stake in Diriya, the holding company of Browns & Co PLC.

Also see note 27: Investments in Subsidiary Companies - Group Holding 52.4% with 2.6% by the Company (As at DEC 2010 Company up its stake to 6.38% and for Group about 56%)

Responding concerns over Engineering Services (Pvt) Ltd. and Mason's Mixture Ltd., both of them also become subsidery with Group holding of 100% and 98% respectively. Accordingly both of them should be subsidiaries of Diriya Investment, though it has not been shown clearly.

My original question was "BRWN's new ROLE under "LOLC Holdings", will it be another HOLDING COMPANY OR ???"
and may be you can now assume why I took all 3 paragraphs to clarify this (insted only last paragraph).

Okay below should clarify our mystery

"During the fourth quarter, the Group's fully owned subsidiary, Commercial Leasing Company Ltd., acquired a 50% stake in Diriya Investments (Pvt) Ltd., an investment vehicle which holds controlling stakes in Taprobane Fund Management Ltd., Muthugala Estates (Pvt) Ltd., Pathragalla Estates (Pvt) Ltd., Engineering Services (Pvt) Ltd. and Masons Mixtures Ltd. Through the holdings of LOLC Company and the subsidiaries of Diriya Investments, Brown & Company PLC is now a subsidiary of the LOLC Group"

Page 43 of the same report. Yes LOLC company directly also seemed to have upped their stake to 6.38 from the 2.xx last year. Thanks for bringing this to my attention and my others.



Regarding BROWN as a Holding Company,
As LOLC is declared now as a Holding company and BRWN is a subsidery , the feasibility of BRWN becomes another Holding company appears to be less but you never know.

Also on a discussion to this topic, I would like to make observation that BRWN that last 4 days trading made over close to 2 million trades. Mostly over Rs 320 I believe. There is still interest on this . As BRWN moved up on consecutive days it might take a rest or maybe not. Anyway we should watch out for the coming weeks movements to determine how much more interest is left over Rs 350. Lookign at LOLC /BRWN relationship both these Blue Chip companies should do well in the future. If you willing buy and forget for next 3 years ( long term), just see whether these will be at that time!

BRWN will have its celebrity status up with the acquisition by LOLC.. And with this also LOLC would be considered in a better position due to high earning of BRWN reflected in their financials..
Seems its a win-win deal for both and I see a good future for both companies now.. Better to watch..

Yes Smallville, as we discussed before better to hold on to some LOLC. Am not sure whether LOLC will kick off with outstanding profits in the near future but when it does it will have exponential gains contributing from subsidies.
