Currently JKH holds 29.9% of NTB shares and CFIN holds over 15% of shares. According to CB, they should bring down 15% on or before 23/04/2012. However, they written to the Central Bank for an extension of deadline. I don't know when is the extended deadline.

There is a rumor that JKH have a buyer @62.
NTB is very attractive at 48-49 level, but my broker advised me to wait a little more.
This could swing to any direction, so it is better to keep your eyes open for next couple of days.

What is the reason for imposing such a rule like reducing number of shares to 15%.

It's a central bank regulation. I hope you can remember, DFCC reduced it's commercial bank stake to below 15% in 2010.

@Dileepa: Thanks for the information, but...
If JKH has a buyer for NTB at Rs 62, that's a 28% premium to the current market price.
Why wouldn't the buyer pick up shares from the market? How do we know that the deal will not be seen as 'suspect', and reversed by Presidential intervention?

availble for NTB at Rs 62.. I dont think... The NSB deal due to it is a government owned bank..so he can intervention.. but for a non government deal can he ??? ...

I hope you are kidding Antonym. TFC is not worth at 50/- at all. However, NTB at Rs 62/- is still worth for a long term investor considering it's growth, though it's much above the market price.

As I remember, DFCC purchased nearly 10% of the shares at Rs 57/- from Indra in late 2011. So, between 57/- to 62/- would be a good deal.

The rationale behind this rule is to broadbase the ownership of public quoted companies. The CSE is now contemplating on having a cap of at least 10% ownership by the public (unrelated to the majour share holders) at the time of listing and maintain that 10% thereafter. This is a good move but SEC is reluctant to impose it strictly as certain companies might delist.

I was only half-kidding... Who decides what the share of a publicly traded share is worth? The market.

This long term investor can obviously accumulate NTB shares from the market, starting at Rs 48.50. The question to ask is: Why is he buying from JKH at Rs 62?

If you are buying a small quantity, yes of course you can buy at 48/- (Current market price). However, if you are buying a huge quantity, it's not possible to buy at this level. Even if you are buying at this level in the open market, automatically share price will move due to the huge buying pressure.

What I think is, if JKH have a buyer @62 first they will have to move the price up to that level and then make the deal. Problem is either JKH or CFIN can't buy any more to move the price up and they don't like to sell this counter at current price level (mind you, even @62 NTB is a good deal for long term investment). They may try to move the price up through a related party, we just have to wait and see.

@Dileepa: In that case, NTB looks like a safe bet at current prices.
PE Ratio is about 7.3, which is good. Profit growth is also expected to continue...
