NOT necessarily, they might use cash to build reserves. No lending restriction.

My broker was promoting this saying they will pay a big dividend but I asked if they do not price will come down? Well I see NDB as a fundamentally strong share and should not be bought based on speculation like a higher dividend. There are lot of things they can do with this thinking of the long term rather than just paying a special dividend.

Yes, that's the thing, Major share holders will also influence and probably will take out at least some amount of money from this massive deal...
