Selling off DP personal holdings to HAYL is a possibility.

But couple of points on HAYL

1) I have not seeing DP selling below Rs 380. ( he has to report) . Also his present stake is 41% to confirm.
2) As the initial speculation implied selling below Rs 380 ( still at a premium as the previous holding was said around at Rs 150) it cannot be understood as long term happening right ( not a decade for sure).

This is why I asked GMnet to confirm we do not want to worry minority holders unduly.

Good point Slstock, but that could be a part of the Game...so people think he bought the majority stake @ 380 and at a time when he dispose below 380 ...many will jump & buy it without knowing its DP selling ...also as GMNet said , by selling off his own companies to Hayleys, he may have booked a considerable profit by now...

And Finally What GMNet was told is not an immediate possible, but which could be happen in a future date...may be in a year or two...or even in a Decade... Very Happy

Second mandatory offer was made because first mandatory offer was not attractive. DP can make another mandatory offer if he wish. These are not called mandatory offers but voluntary offers.

Further as per rules he is allowed to buy 2% per annum without triggering the code. So he will continue to buy 2% per annum until he reaches 50%. After 50% threshold he could buy any amount of shares without any restriction.

As RIO understood these are not things that would happened in a weeks time, but these are the most likely strategies of majority stakeholders like DP. I have seen same strategy begin adopted by many known investors like Ajith Devasurendra, Sena Yaddehige and companies like Colombo Fort Land, Carsons and Lankem in the past.

As I clearly said in my answer, this is just an hypothetical scenario and therefore no need to panic.

But as prudent investors, I believe we need know how these HNWI think and act, so that we can be one step ahead of them.

ECONOMYNEXT – Sri Lanka’s Hayleys group reported a loss of 143.4 million rupees in the September 2018 quarter, with a sharp rise in costs and minority interest earnings, despite sales growing by more than half.

The loss, compared with net profit of 168.3 million rupees the year before, was Hayleys’ second successive quarterly loss, the group having lost 264 million rupees in the June 2018 quarter.

The loss amounted to 1.91 rupees per share in the September 2018 quarter compared with earnings per share of 2.24 rupees the year before. 

In the six months to September 2018 the loss per share was 5.39 rupees. The share closed Tuesday at 189.60 rupees, down 5.40 rupees or 2.8 percent.

Second quarter group sales shot up 58 percent to 52.4 billion rupees from the previous year with gross profit up 71 percent to 11.6 billion rupees, interim accounts showed.  

Net finance costs of Hayleys, which is in manufacturing, consumer durables, logistics and plantations, more than doubled to 2.6 billion rupees in the September 2018 quarter mainly because of the inclusion of Singer group, borrowings to fund acquisitions and exchange rate fluctuations. 

Total profit after tax in the September 2018 quarter fell 23 percent to 509 million rupees while the profit share of non-controlling or minority interest rose 33 percent to 652 million rupees, the accounts showed. 

A company statement said Hayleys surpassed 100 billion sales in the first half of the 2018/19 financial year, fueled by topline growth across all of its key businesses.

“The group incurred an increased net finance cost of 5 billion rupees, mainly due to the inclusion of Singer group, financing costs of the recent acquisitions and exchange rate fluctuation.” 

All segments except for plantations contributed to the healthy expansion in turnover for the group during the half-year, the statement said.

“Revenue within the Consumer & Retail segment expanded substantially from 2.7 billion rupees to 31.5 billion rupees in 1HFY18/19, bolstered by the contributions of Singer (Sri Lanka) Group which were acquired by Hayleys at end of 2Q18, generating 2.4 billion rupees in operating profits.”

The iconic Sri Lankan multinational, Hayleys PLC, recorded outstanding growth in revenue and operating profits in the financial year ended 31st March 2019 (FY18/19).

The Group revenue expanded by 34% YoY to Rs. 219 bn while operating profit before interest increased by 40% YOY to Rs.15.9 bn. The Group Earnings Before Interest, Tax, Depreciation and Amortization (EBITDA) for FY 18/19 has improved to Rs. 21.3 bn from Rs.15.8 bn while the Finance Cost has increased from Rs.5.9 bn to Rs. 10.5 bn. The Group’s Profit Before Tax (PBT) reflect a 5% Year-on-Year (YoY) contraction to Rs 5.5 bn . In terms of revenue generation, the Group’s Consumer and Retail segment, which includes Singer (Sri Lanka) PLC recorded a turnover of Rs. 67.2 bn compared with Rs.35.9 bn in the previous year. The Transportation and Logistics segment generated Rs. 45.3 bn in turnover, from Rs. 35.6 bn in FY17/18.

The Purification segment achieved Rs. 20.9 bn in turnover, as compared with a previous Rs. 15.5 bn, while the Hand Protection segment recorded an increase in turnover from Rs. 15.9 bn to Rs. 17.1 bn. The Agriculture segment posted a turnover of Rs. 14.9 bn, from Rs. 13.9 bn in FY17/18.

In terms of segment results, the Group’s Consumer and retail segment made a contribution of Rs. 4.1 bn to Group operating profits despite margins being pressured as a result of import restrictions which came into effect during the year in review and a negative impact on the finance costs. The Group’s Transportation and Logistics segment posted operating profits of Rs. 3.6 bn, over a previous Rs. 2.9 bn. The Agriculture sector reported an improved operating profit of Rs. 1.71 bn, against Rs. 1.15 bn in FY17/18.

Meanwhile, the Purification segment’s operating profits grew from Rs. 1.1 bn to Rs. 1.5 bn while Hand Protection operating profits posted an improvement from Rs. 471 mn to Rs. 834 mn. The Group’s Eco Solutions segment was successful in reversing an operating loss of Rs. 16 mn in FY 17/18 to an outstanding Rs. 440 mn operating profit in FY18/19.

Similar improvements were also demonstrated by the Group’s Textiles segment, which grew operating profits of Rs. 142 mn to Rs. 465 mn while the Group’s Leisure sector posted an operating profit of Rs. 665 mn, against Rs. 343 mn in FY17/18.

The Group’s Tea Export business, the Mabroc Brand helped the Plantations sector which is facing challenges from rising costs of production arising from increased wages in the final quarter of the year. The Plantations sector generated revenues of Rs. 13 bn, against a previous Rs. 12.6 bn and contained its reduction in operating profits to Rs. 737 mn, as compared with Rs. 887 mn in FY17/18.

However, increased net finance costs constrained bottom line performance at Hayleys as costs increased by 77% YoY to Rs. 10.5 bn in FY18/19, largely as a result of rising interest costs, consolidation of finance costs of Singer ( Sri Lanka) PLC and acquisition cost of recently acquired businesses.

“As one of Sri Lanka’s single largest sources of value added exports, the Hayleys Group continues to be a major contributor to the Sri Lanka’s economy. Moving forward, the Group will continue to take strategic and focused measures aimed at rationalizing finances , however as a Group, we are ready for a challenging macroeconomic environment,” Hayleys PLC Chairman and Chief Executive Mr. Mohan Pandithage stated.

Business leader Dhammika Perera yesterday increased his personal stake in the most diversified blue chip Hayleys PLC to 51% from 50.44% previously. hayleys - HAYLEYS PLC (HAYL.N0000) - Page 3 Image_49cff87716

The move follows Perera buying 435,000 shares of Hayleys PLC at Rs. 180 each in a deal worth Rs. 78 million. Overall 490,955 shares of Hayleys traded for Rs. 88.37 million and was the fourth largest contributor to the turnover. The share price of Hayleys recorded a gain of Rs 10.00 (5.88%) to close at Rs 180.00.

Perera now holds 38.26 million shares in Hayleys PLC, out of 75 million shares. As at 30 September Net Assets per share of Hayleys PLC is Rs. 514.69, up from Rs. 512.30 a year ago. 

Public holding of Hayleys PLC is 37.67%.

If you hold for 3~6 months in HAYC and DIPD, there is a high probability you will end up with a capital gain of beyond 100% in both and a pocket full of dividends.
